Terms and Conditions of Service

Please read these Terms and Conditions ("Terms") carefully before using the services offered by PeopleWorks.ai, operated by Go Foxir Agency ("PeopleWorks", "we", "us", or "our"). By accessing our website, platform, or engaging our services, you ("Client", "User", or "you") agree to be bound by these Terms.
If you do not agree to these Terms, you must not use our Services.
1. Definitions
In these Terms, the following definitions apply:
• "Services" means all HR outsourcing, payroll management, AI-assisted recruitment, psychometric assessment, HR technology, and related services provided by PeopleWorks.ai.
• "Platform" means the HROS system, AIHA (AI Hiring Assistant), web applications, and any proprietary software tools made available by PeopleWorks.
• "Client" means the business entity or individual who engages PeopleWorks.ai under a Service Agreement.
• "Candidate" means any individual who participates in a recruitment, assessment, or interview process through the Platform on behalf of a Client.
• "Service Agreement" means the executed agreement, proposal, or engagement letter between PeopleWorks and the Client that sets out the scope, fees, and terms of specific services.
• "Confidential Information" means any non-public business, technical, financial, or personnel information disclosed by either party in connection with the Services.
2. Scope of Services
2.1 Service Delivery
PeopleWorks.ai provides HR outsourcing services as described in the relevant Service Agreement. Services may include, without limitation:
• AI-powered recruitment, candidate screening, and psychometric assessment via the AIHA platform
• Payroll processing, statutory contribution management (EPF, SOCSO, EIS, PCB), and payslip generation
• HR administration, employment documentation, and employee onboarding support
• HR technology management, including implementation and administration of HR software systems
• HR consultancy, policy development, and compliance advisory services
2.2 Service Customisation
The specific scope, deliverables, timelines, and fees for each Client engagement are set out in the applicable Service Agreement. In the event of conflict between these Terms and a Service Agreement, the Service Agreement shall prevail with respect to the specific engagement.
2.3 Limitations
PeopleWorks.ai operates as an HR service provider and does not act as the employer of any candidate or employee placed with a Client. All final hiring, employment, and termination decisions remain solely with the Client. PeopleWorks does not provide legal advice, and nothing in our services or communications constitutes legal advice.
3. Client Obligations
As a Client, you agree to:
• Provide accurate, complete, and up-to-date information necessary for PeopleWorks to deliver the Services
• Designate an authorised representative as the primary point of contact for all service matters
• Ensure that all employee and candidate data submitted to PeopleWorks has been collected lawfully and that you have the necessary authority or consent to share it
• Review and approve all payroll outputs, HR documents, and reports in a timely manner as agreed in the Service Agreement
• Comply with all applicable Malaysian employment laws, including the Employment Act 1955, Industrial Relations Act 1967, EPF Act 1991, and related legislation
• Notify PeopleWorks promptly of any changes to your business structure, employee headcount, or applicable legal obligations that may affect service delivery
• Pay all fees and charges as agreed in the Service Agreement
4. Fees and Payment
4.1 Service Fees
Fees are as set out in the applicable Service Agreement or invoice. All fees are quoted in Malaysian Ringgit (MYR) and are exclusive of applicable taxes unless stated otherwise.
4.2 Payment Terms
Invoices are payable within the period specified in the Service Agreement, which is typically 14 to 30 days from the invoice date. We reserve the right to charge interest on overdue amounts at 1.5% per month or the maximum rate permitted by law, whichever is lower.
4.3 Suspension for Non-Payment
PeopleWorks reserves the right to suspend Services where payment remains outstanding beyond 30 days after the due date, following prior written notice. Suspension of Services does not relieve the Client of its payment obligations.
4.4 Fee Revisions
PeopleWorks may revise service fees with 30 days' written notice. Continued use of the Services after the effective date of a fee revision constitutes acceptance of the new fees.
5. Intellectual Property
5.1 PeopleWorks IP
All intellectual property rights in the Platform, AIHA, assessment instruments developed by PeopleWorks, methodologies, processes, templates, and proprietary tools remain the exclusive property of PeopleWorks.ai and Go Foxir Agency. No licence is granted to the Client except as expressly set out in these Terms or the Service Agreement.
5.2 Client Data
All data, documents, and information submitted by the Client remain the property of the Client. PeopleWorks is granted a limited, non-exclusive licence to use such data solely for the purpose of delivering the Services. PeopleWorks will not use Client data for any other purpose without the Client's explicit written consent.
5.3 Candidate Data
Assessment results, psychometric profiles, and interview recordings generated through the Platform are owned by PeopleWorks and licensed to the Client for the specific hiring process. PeopleWorks may use anonymised, aggregated data for the purpose of improving its AI models and assessment accuracy, provided that no individual is identifiable from such data.
5.4 Restrictions
The Client must not reverse engineer, copy, modify, or attempt to replicate the Platform, assessment instruments, or any PeopleWorks proprietary methodology.
6. Confidentiality
Each party agrees to:
• Keep all Confidential Information of the other party strictly confidential
• Not disclose Confidential Information to any third party without the prior written consent of the disclosing party, except to its employees or advisers on a need-to-know basis under equivalent confidentiality obligations
• Use Confidential Information solely for the purposes of the Services
These obligations survive termination of the Service Agreement for a period of three (3) years. They do not apply to information that is or becomes publicly available through no fault of the receiving party, or that the receiving party was lawfully aware of prior to disclosure.
7. Data Protection
Both parties agree to comply with the Personal Data Protection Act 2010 (PDPA) of Malaysia and all applicable data protection legislation in their respective roles as data controller and data processor.
PeopleWorks processes employee and candidate data on behalf of the Client in accordance with the Client's lawful instructions and our Privacy Policy. The Client warrants that it has obtained all necessary consents and authorisations to disclose personal data to PeopleWorks for the purposes of the Services.
In the event of a data breach that affects Client data, PeopleWorks will notify the Client as soon as reasonably practicable and cooperate to contain and remediate the breach.
8. Warranties and Representations
8.1 PeopleWorks Warrants That:
• It has the authority to enter into these Terms and provide the Services
• The Services will be delivered with reasonable skill and care
• The Platform will be maintained and made available with commercially reasonable uptime, subject to planned maintenance and events outside our control
8.2 Client Warrants That:
• It has the authority to enter into these Terms and any Service Agreement
• All information provided to PeopleWorks is accurate and complete to the best of its knowledge
• It will use the Services and Platform in compliance with all applicable laws and these Terms
8.3 Exclusions
To the maximum extent permitted by Malaysian law, PeopleWorks excludes all implied warranties, conditions, and representations not expressly stated in these Terms. We do not warrant that the Platform will be error-free or uninterrupted at all times.
9. Limitation of Liability
To the maximum extent permitted by law:
• PeopleWorks's total liability to the Client arising from or in connection with the Services or these Terms shall not exceed the total fees paid by the Client to PeopleWorks in the three (3) months immediately preceding the event giving rise to the claim
• PeopleWorks shall not be liable for any indirect, consequential, incidental, punitive, or special loss or damage, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such loss
• PeopleWorks shall not be liable for any employment decision made by the Client based on information, assessments, or recommendations provided through the Services, as all such decisions remain within the Client's sole discretion and responsibility
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Indemnity
The Client agrees to indemnify, defend, and hold harmless PeopleWorks, its directors, officers, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
• The Client's breach of these Terms or any Service Agreement
• The Client's violation of applicable law, including employment and data protection law
• Any employment decision made by the Client in connection with the Services
• Any claim by a Candidate or employee arising from the Client's actions or omissions
11. Term and Termination
11.1 Duration
These Terms remain in force for as long as the Client uses PeopleWorks's Services or is party to a Service Agreement.
11.2 Termination for Convenience
Either party may terminate a Service Agreement by providing written notice as specified therein, which is typically 30 days unless otherwise agreed.
11.3 Termination for Cause
Either party may terminate immediately upon written notice if the other party:
• Commits a material breach of these Terms or the Service Agreement that is not remedied within 14 days of written notice
• Becomes insolvent, enters into administration, receivership, or is subject to winding-up proceedings
• Engages in fraudulent, illegal, or grossly negligent conduct
11.4 Effect of Termination
Upon termination, the Client must pay all outstanding fees within 14 days. PeopleWorks will return or destroy Client data in accordance with the Privacy Policy and applicable law. Provisions relating to intellectual property, confidentiality, data protection, limitation of liability, and dispute resolution survive termination.
12. Force Majeure
Neither party shall be liable for delays or failures in performance caused by circumstances beyond their reasonable control, including acts of God, natural disasters, pandemic, government actions, civil unrest, cyberattacks by third parties, or failure of third-party infrastructure providers. The affected party must notify the other promptly and use reasonable efforts to resume performance.
13. Amendments
PeopleWorks reserves the right to update these Terms at any time. We will provide at least 30 days' written notice of any material changes. Continued use of the Services following the effective date of revised Terms constitutes your acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to mediation under the Asian International Arbitration Centre (AIAC) Mediation Rules before proceeding to litigation. The courts of Malaysia shall have exclusive jurisdiction over any legal proceedings.
15. General Provisions
• Entire Agreement: These Terms, together with any applicable Service Agreement, constitute the entire agreement between the parties with respect to the Services and supersede all prior discussions, representations, and agreements.
• Severability: If any provision of these Terms is found to be unlawful or unenforceable, it shall be severed from these Terms without affecting the remaining provisions.
• No Waiver: Failure by either party to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
• Assignment: The Client may not assign or transfer its rights or obligations under these Terms without PeopleWorks's prior written consent. PeopleWorks may assign its rights to an affiliate or successor entity upon notice.
• Notices: All formal notices must be delivered in writing to the contact details specified in the Service Agreement or to [email protected].
